Job Description

Carers Network wishes to recruit a Company Secretary to support the Board and the Finance and Risk Committee in providing governance and legal guidance for the organisation as well as regulatory guidance and administration.  Candidates may have the following skills set to offer to Carers Network:

  • Strategic level experience from the public or private sector in one or more of the following:                      law, finance, accounting, regulatory and/or operations
  • A good communicator with an enquiring mind and a willingness to challenge constructively
  • Strong analytical skills, judgement, and decision-making

Purpose

The purpose of the role of the Company Secretary is to ensure that the charity operates within necessary legal and regulatory obligations.

Responsibilities

  1. Administration of Meetings
  • Liaising with the CEO and the Chairperson to plan, arrange and produce agendas and supporting papers for trustee meetings
  • Taking minutes at the Board and Finance and Risk Committee meetings
  • Drafting minutes
  • Ensuring meetings comply with the requirements of the governing document
  • Ensuring that minutes are signed by the Chairperson once they are approved.

2. Maintaining statutory records

  • Filing minutes and board papers
  • Maintaining and updating statutory records:

- Membership Register

- Minutes record

- Register of Trustees' interests.

3. Compliance

  • Ensuring that the company complies with its governing document, Charity Law, Charity Commission, and other relevant legislation
  • Providing support to the CEO, the Chairperson and Trustee Members on corporate governance issues including regulatory implications of the charity's strategic plan
  • In liaison with the CEO and the trustees, carrying out periodic review of the governance document and monitoring that the charity's activities reflect the objects set out in the governing document
  • Ensuring that all filings are submitted to the Companies House and Charity Commission in accordance with statutory deadlines
  • Maintenance of the register of Persons with Significant Control.

Person Specification

The successful candidate will be able to provide a range of skills and experience, including:

  • Senior strategic level experience from the public or private sector in one or more of the following:
    • Law, finance, accounting and/or operations
  • A good communicator with an enquiring mind and a willingness to challenge constructively
  • Strong analytical skills, judgement, and decision-making
  • Trustees are expected to support the charity’s objectives.

Commitment level

Board meetings are every two months on a Wednesday evening from 6.00pm to 8.30pm.

Finance and Risk Committee meetings are every three months, generally on a Wednesday evening, from 5.00pm to 7.00pm.  There are occasional meetings in addition to this such as an annual Board awayday.

Meetings take place on Zoom for the foreseeable future and, in time, at the Beethoven Centre in Queen’s Park or in central London.

You would also be required to read papers ahead of meetings and to contribute to discussions.

Support in this role

You will receive an induction to Carers Network and any training and support needed to help you to contribute effectively.

Remuneration 

This position is unremunerated. Carers Network will reimburse reasonable travel expenses.

Other

Trustees and the Company Secretary are required to apply for a basic Disclosure and Barring Service check.
